Analyzing Commercial Contracts in the Intelligent Era: Challenges and Legal Perspectives

The rapid integration of Artificial Intelligence into commercial ecosystems has precipitated a fundamental transformation regarding how parties establish, execute, and enforce agreements. Traditional contract law, historically predicated upon human consensus and subjective interpretation, currently faces substantial challenges posed by algorithmic automation and smart contracts. This article conducts a critical analysis regarding the intersection of autonomous decision-making systems and existing legal frameworks in international trade. The primary objective involves identifying the systemic friction between the deterministic nature of code-driven execution and the foundational requirement for legal flexibility. Utilizing a doctrinal research methodology, this study examines whether current civil and common law doctrines sufficiently accommodate the complexities of self-executing protocols. Findings indicate that the rigid structure of algorithmic logic often conflicts with equitable principles, necessitating a reconceptualization of contractual intent within automated environments. Furthermore, this research addresses the critical issue of liability assignment when algorithmic errors disrupt commercial performance. The article concludes by proposing a hybrid legal paradigm, suggesting that legislative reforms must incorporate standardized technical parameters to ensure legal certainty while fostering technological innovation. By reconciling the rigidity of machine code with the nuanced demands of commercial jurisprudence, this study provides a comprehensive framework for future regulatory policy, ensuring that the intelligent era maintains the integrity of private law while navigating the shift toward total digital automation.
