Risk management in Directors' and Officers' (D&O) liability insurance contracts has become a fundamental challenge for economic enterprises, particularly in the wake of global pandemics. This paper aims to analyze modern risk management approaches in D&O insurance contracts and extract lessons learned from pandemic crises, especially COVID-۱۹. The research methodology is based on a descriptive-analytical approach, utilizing library studies, examination of international documents, insurance industry reports, and relevant judicial precedents. The findings indicate that risk management in D&O contracts requires an integrated and multi-dimensional approach that encompasses not only legal and financial aspects but also technical, economic, environmental, and behavioral dimensions. The results reveal that global pandemics have exposed blind spots in the traditional structure of D&O contracts, highlighting the urgent need for revising insurance policy provisions, including pandemic-related clauses, stabilization clauses, dispute resolution mechanisms, and risk allocation. Furthermore, the findings demonstrate that firms employing modern risk management approaches, such as integrated models like the TEFSEL framework and the Resource-Based View (RBV) theory in their insurance contracts, have achieved better financial performance and successfully maintained their value during crisis conditions. Finally, the paper recommends that developing dynamic and adaptable risk management frameworks, alongside transparency in contractual provisions and coordination between the main contract and the insurance policy, can significantly contribute to enhancing organizational resilience and reducing costs arising from pervasive risks.
