چکیده مقاله:
The rapid rise of Initial Coin Offerings (ICOs) and tokens has fundamentally transformed the landscape of international financial markets, presenting both unprecedented opportunities and significant regulatory challenges. This paper aims to provide a comprehensive legal analysis of ICOs and tokens, exploring their definitions, characteristics, and the varied regulatory approaches adopted across different jurisdictions, including the United States, European Union, and key Asian markets such as China, Japan, and South Korea. By examining the legal classification of utility and security tokens, and addressing compliance issues such as KYC/AML requirements, securities law, and taxation, this study highlights the complexities and risks associated with ICOs. Through detailed case studies of both successful and failed ICOs, the paper illustrates the economic and technological impacts of this fundraising mechanism, emphasizing its influence on market capitalization, investment trends, blockchain technology, and smart contracts. A comparative analysis between ICOs, traditional IPOs, and crowdfunding further elucidates the unique position of ICOs within the financial ecosystem. The paper concludes with future directions and recommendations for policymakers and issuers, aiming to foster a more secure and efficient market environment. This analysis underscores the need for robust regulatory frameworks to balance innovation and investor protection, ultimately contributing to the sustainable growth of ICOs and tokens in the global financial markets.
